Terms of service (public offer)

Effective 18 October 2026

This document is a public offer: an offer to enter into an agreement on the same terms with anyone who accepts it. It is made by individual entrepreneur Denys Stevanovych Patsera for Invoices in hryvnia and by individual entrepreneur Artem Mykolaiovych Klots for Invoices in euro and US dollars (each, the “Provider”; for a given Invoice, the Provider is the one who accepts payment in its currency) to any organisation or sole trader (the “Customer”) that wants to use the InShift service. Full details of both Providers are in section 13. The governing version of these terms is written in Ukrainian; if a translation differs, the Ukrainian version prevails.

1. Definitions

  • Service, or InShift: software for shift scheduling, time tracking and payroll that works over the internet. The Service includes the admin panel at admin.inshift.app (the “Panel”), the InShift app for employees on the App Store and Google Play, and the website inshift.app.
  • Organisation: the Customer's workspace in the Service with its locations, employees and settings.
  • Users: people the Customer has added to its Organisation, including the owner, managers and employees.
  • Plan: a set of features and a price published on the Pricing page. Currently these are Free and Basic.
  • Invoice: a document in the Panel showing the period, number of people, amount and due date.

2. Subject of the agreement

2.1. The Provider gives the Customer access to the Service over the internet as software as a service (SaaS). The Customer does not need to install anything on its own servers: the Provider runs, updates and stores the data.

2.2. The Customer uses the Service on the chosen Plan and pays for a paid Plan under this agreement.

2.3. The features of each Plan are published on the Pricing page and in the Panel.

3. Acceptance

3.1. The Customer accepts this offer by registering an Organisation in the Service. Paying an Invoice is also acceptance. From that moment the agreement is in force.

3.2. By accepting the offer, the Customer also agrees to the Refund policy and the Privacy policy, which form part of this agreement.

3.3. The person who registers the Organisation or pays an Invoice on the Customer's behalf confirms that they are authorised to do so.

4. How and when the service is provided

4.1. Access opens immediately after registration in the Panel. The Customer creates an Organisation, adds locations and employees and invites them to the app.

4.2. You can start for free. For a period after registration the Organisation uses the Basic Plan without payment; the end date is shown in the Panel under “Settings” → “Billing”. After that date, without payment, the Free Plan applies with the limits published on the Pricing page.

4.3. A paid Plan is active for the paid period: one month from the Invoice date, or one year for seats paid yearly.

4.4. The Service is available around the clock. For updates and maintenance the Provider may briefly pause the Service and, where possible, does so at night Kyiv time.

4.5. Support is available in the chat in the Panel and at support@inshift.app.

5. No delivery: online access

5.1. InShift is an online service (SaaS). There are no physical goods, so there is no delivery: nothing is sent by post or courier, and no delivery services are used.

5.2. Paid access opens in the Customer's Organisation in the Panel once the payment is received: usually within a few minutes for card payments, and for bank transfers once the funds reach the Provider's account, normally within one business day.

5.3. The Service can be used in any country with internet access, except countries with which payments are prohibited under the laws of Ukraine. The employee app is installed from the App Store and Google Play.

6. Price

6.1. Prices are published on the Pricing page and in the Panel. The Basic Plan is charged per active person in the “Employees” list per month, with the minimum number of people stated on the Pricing page. Dismissed people and trainees are not counted.

6.2. The currency of an Invoice depends on the Organisation's country: hryvnia in Ukraine, and euro or US dollars elsewhere, as shown on the Pricing page for that country. For an Invoice in euro or US dollars, WayForPay charges the card in hryvnia at its own rate on the day of payment, and the Customer's bank converts that amount into the card's currency.

6.3. The Invoice amount the Customer sees before paying is final. The Customer's bank may charge its own fee or currency conversion at its own rates.

6.4. The Provider may change prices by notifying the Customer by email and in the Panel at least 14 days in advance. A period already paid for is not recalculated at the new prices.

7. Billing and payment methods

7.1. An Invoice is issued in the Panel once a month in advance, and once a year for seats paid yearly. If more people are added during a paid month, the charge for them from the day they were added goes on the next Invoice.

7.2. An Invoice can be paid:

  • by Visa or Mastercard bank card, including Apple Pay and Google Pay, on the secure page of the WayForPay payment service;
  • by bank transfer to the Provider's account using the details on the Invoice.

7.3. The Customer enters card details on the WayForPay page. The Provider does not see or store the card number.

7.4. If the Customer agreed to a recurring payment when paying by card, later Invoices are charged to the same card on the Invoice date for the Invoice amount. The recurring payment can be switched off at any time by writing to support@inshift.app or yourself in the WayForPay personal account, under “Регулярні платежі” (Recurring payments).

7.5. An Invoice is paid when the funds are received by the Provider. If an Invoice is not paid on time, the Provider may switch the Organisation to view only: the rota and people cannot be changed, and the data is kept. It is deleted only under the rules for inactive Organisations (sections 11.6–11.10).

8. Rights and obligations

8.1. The Provider:

  • provides access to the Service under this agreement and the chosen Plan;
  • stores and protects the Customer's data in line with the Privacy policy;
  • responds to support requests;
  • gives at least 14 days' notice of material changes to the terms and prices.

8.2. The Customer:

  • pays Invoices for a paid Plan on time;
  • gives access to the Organisation only to its own people and assigns their rights;
  • enters employee data on a lawful basis. The Customer is the controller of that data, and the Provider processes it on the Customer's behalf;
  • does not try to break into the Service, get around Plan limits or resell access without the Provider's written consent.

9. Liability

9.1. The Provider makes every reasonable effort to keep the Service running without interruptions or errors, but does not guarantee that there will be none.

9.2. The Provider is not liable for interruptions caused by internet providers, banks, app stores, POS systems and other third-party services, or by the actions of the Customer's Users.

9.3. Neither party is liable for failing to perform the agreement because of force majeure, including hostilities, power outages and cyberattacks, while they last.

9.4. Otherwise, the parties are liable under the laws of Ukraine.

10. Personal data

What data the Service collects, why, who can access it and how to delete it is described in the Privacy policy.

11. Term, cancellation, refunds and inactive Organisations

11.1. The agreement remains in force until either party ends it.

11.2. The Customer can cancel a paid Plan at any time by writing to support@inshift.app or in the support chat, or with the “Cancel subscription” button on the “Billing” page in the Panel. No further Invoice is issued, Basic stays active until the end of the paid period, and then the Organisation moves to the Free Plan.

11.3. When and how the Provider refunds payments and cancels transactions is described in the Refund policy.

11.4. The account and data can be deleted by following the Delete account instructions.

11.5. The Provider may end access for a Customer who seriously breaches this agreement, after notifying them by email. Access is ended without notice only when the breach harms the Service or other customers.

11.6. An Organisation is inactive when none of its Users sign in to the Service, change the rota, clock in on a tablet, use API keys or pay Invoices. Automatic actions of the Service and sign-ins by the Provider's support do not count as activity.

11.7. The Provider archives and deletes an inactive Organisation within these periods, counted from the last activity:

  • an Organisation with no employees other than the owner and no shifts is deleted on day 40, without an archive;
  • an Organisation that has never paid is archived on day 60 and deleted on day 90;
  • an Organisation that has paid is archived 12 months after the end of the paid period or after the last activity, whichever is later, and deleted 30 days after archiving.

11.8. At least 10 days before deleting an Organisation without an archive, and 30 days before archiving, the Provider emails the owner at the account address. To keep the Organisation, any of its Users only needs to sign in before the date in the email. If the Organisation no longer has an owner, no email is sent and the periods run the same way.

11.9. In the archive, access to the Organisation is closed and the data is kept. The owner restores the Organisation with one click when signing in, and everything comes back. Once deleted, the Organisation's data cannot be restored: employees, locations, rotas, time tracking, payroll, requests, chat, property, settings, the POS connection and API keys. User accounts are not deleted but detached from the Organisation; an account without an Organisation that has not been signed in to for 12 months is deleted. The Provider keeps Invoices and payments for 5 years as required by law.

11.10. Organisations with a running paid period, Organisations with free access granted by the Provider and Organisations whose access the Provider has suspended are never deleted automatically.

Sections 11.6–11.10 and the new wording of 7.5 take effect on 2 November 2026.

12. Changes and disputes

12.1. The current version of these terms is always published on this page with the date it takes effect. The Provider gives notice of material changes by email and in the Panel at least 14 days in advance.

12.2. The parties settle disputes by negotiation and, failing that, in court under the laws of Ukraine.
